Whistleblowing Policy Statement

Introduction

redONE Group are committed to conducting our business with honesty and integrity and we expect all employee to maintain high standards in accordance with our policies and procedures. However, all organizations face the risk of things going wrong from time to time, or of unknowingly harboring illegal or unethical conduct. A culture of openness and accountability is essential in order to prevent such situations occurring or to address them when they do occur.

Scope

This policy applies to all employees and third parties who has become aware of or genuinely suspects on a reasonable belief that an employee of the company has engaged, is engaged or is preparing to engage in any improper conduct. Whilst we do not expect absolute proof of wrong-doing that you report, you will need to provide the reasons or basis for your concern. You can raise your concern with us if you reasonably believe that the information and allegation are substantially true. In addition, you must also make the disclosure in good faith and ensure that the disclosure is not for personal gain or motivated by ill intention.

Wrongful Acts

The whistle blowing may relate to any information pertaining to wrongdoings, malpractices, and/or irregularities as per the following list which is not exhaustive:

  1. Any unlawful act, whether criminal or breach in civil law;
  2. Breach of policies and/ or procedures;
  3. Financial fraud (for example accounting manipulation, non-compliance with internal controls procedures, misappropriation of assets or fraudulent statements);
  4. Bribery or corruption (for example conflicts of interest, bribery, sponsorships & donations, gifts or facilitation payments);
  5. Actions which can cause physical danger/ harm to another person and/or can give rise to risk of damage to properties/ assets;
  6. Forgery or alteration of any documents belonging to the company, customers, another financial institution, or agents of the company;
  7. Profiteering as a result of insider knowledge;
  8. Misuse of position or information; and
  9. Any other similar or related irregularities shall be reported.

Protection

The whistle blower or persons connected to him/her shall be protected from any detrimental action as a direct consequence of the disclosure. Additionally, the whistle blower’s identity and such other confidential information shall not be disclosed save with the whistle blower’s consent or otherwise required by law.

Notification

The whistle blower shall be informed of the result of any investigation and/or any action taken by the Company in respect of the disclosure in accordance with the Policy.
